1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your use of Labgrow LIMS, a cloud-based Laboratory Information Management System operated by Quantum CorpHealth Pvt. Ltd. (“Company”, “we”, “us”, or “our”), doing business as Doctor911.

By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

Labgrow LIMS is a cloud SaaS platform designed exclusively for medical diagnostic laboratories. The Service provides:

• Patient registration and UHID management
• Work order, sample, and test result management
• Machine analyzer integration (ASTM, HL7, file-drop protocols)
• PDF diagnostic report generation with digital signatures
• Report delivery via WhatsApp, Email, and SMS
• Quality control (Westgard rules engine)
• GST billing, TPA partner management, and insurance claims
• Home collection scheduling
• Analytics and operational dashboards

3. Eligibility & Acceptable Use

The Service is intended solely for:

• Licensed medical diagnostic laboratories
• Clinical pathology centres and polyclinics
• Hospitals and health systems operating diagnostic labs

You agree that you will:

• Use the Service only for lawful diagnostic and medical purposes
• Maintain accurate lab and patient data
• Not attempt to reverse-engineer, decompile, or resell the Service
• Not use the Service to store data unrelated to laboratory operations
• Comply with all applicable Indian laws including the IT Act 2000, Personal Data Protection norms, and NABL requirements
• Obtain appropriate patient consents for digital report delivery

4. Subscription Terms

Free Trial: New labs receive a 14-day free trial with full access to all features. No credit card is required to start the trial.

Paid Subscriptions: After the trial period, a paid subscription is required to continue using the Service. Subscriptions are billed monthly or annually as selected at checkout.

Cancellation: You may cancel your subscription at any time from the Settings → Subscription page. Access continues until the end of the current billing period.

Price Changes: We reserve the right to change subscription pricing with 30 days' notice to registered lab admins.

5. Data Ownership

You own your data. All patient data, lab records, reports, and test results entered into Labgrow LIMS remain the sole property of your lab.

We act as a data processor on your behalf. We do not claim any rights to your data and will not use it for any purpose other than providing the Service.

You may export all your data at any time in CSV or JSON format. Upon subscription termination, we will provide a final data export within 30 days of your request.

6. Service Availability

We strive to maintain 99.5% uptime for the Service. Planned maintenance windows will be communicated at least 24 hours in advance via email to lab admins.

We are not liable for downtime caused by third-party providers (AWS, internet service providers, or force majeure events).

7. Intellectual Property

Labgrow LIMS, including its software, design, trademarks, and documentation, is the intellectual property of Quantum CorpHealth Pvt. Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Service.

Clinical disclaimer: Labgrow LIMS is a data management tool. All clinical interpretations, diagnoses, and treatment decisions are the sole responsibility of licensed medical professionals. We are not liable for any clinical outcomes based on data managed through the Service.

Our total aggregate liability for any claim shall not exceed the subscription fees paid by you in the 3 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service for non-medical purposes.

Upon termination, you will have 30 days to export your data before it is permanently deleted.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

11. Amendments

We may amend these Terms at any time. We will notify registered lab admins by email at least 15 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.
